This End-User License Agreement (“Agreement”) is a legal agreement between you (“User”) and Abraxas Technologies LLC (“Company,” “we,” “us,” or “our”), governing your use of the ReelPhotos application (the “Application”). By downloading, installing, or using the Application, you agree to be bound by the terms of this Agreement. If you do not agree to these terms, do not download, install, or use the Application.
The Application is licensed, not sold, to you. Abraxas Technologies LLC grants you a nontransferable, non-exclusive license to use the Application on any Apple-branded device that you own or control, subject to the App Store Usage Rules. The license does not allow the Application to be distributed or made available on a network where it could be used by multiple devices at the same time. You may not sell, sublicense, or redistribute the Application.

You agree that Abraxas Technologies LLC may collect and use technical data and related information, including but not limited to technical information about your device, operating system, and application usage, in aggregate and anonymized forms, for the purpose of improving the Application and providing updates or technical support. This data will not personally identify you unless explicitly permitted by you.
The Application allows you to create, upload, and share content, including images and text (“User Content”). By submitting User Content through the Application, you grant Abraxas Technologies LLC a worldwide, royalty-free, perpetual, irrevocable, non-exclusive license to use, reproduce, modify, adapt, publish, translate, distribute, and display such User Content for the purpose of operating, improving, and promoting the Application. You represent and warrant that:
The Application may provide access to third-party services or websites (“External Services”). You agree to use these External Services at your sole risk. Abraxas Technologies LLC is not responsible for the content, accuracy, or availability of any External Services. You agree not to use External Services in a manner that violates applicable laws or infringes on the rights of any third party. Abraxas Technologies LLC reserves the right to modify or disable access to External Services without notice.
The Application and all its contents, including but not limited to text, graphics, logos, images, and software, are the exclusive property of Abraxas Technologies LLC and are protected by copyright, trademark, and other intellectual property laws. All rights not expressly granted to you under this Agreement are reserved by Abraxas Technologies LLC.
Abraxas Technologies LLC reserves the right to update, modify, or discontinue the Application or any part of it at any time without prior notice. Regular updates may be provided to improve functionality, fix bugs, or introduce new features.
If you provide feedback, suggestions, or ideas about the Application (“Feedback”), you agree that we may use such Feedback without any obligation to compensate you or credit you for the Feedback. You further agree that all rights to the Feedback shall be exclusively owned by Abraxas Technologies LLC.
This Agreement is effective until terminated by you or Abraxas Technologies LLC. Your rights under this Agreement will terminate automatically without notice if you fail to comply with any of its terms. Upon termination, you must cease all use of the Application and delete all copies from your devices.
The Application does not currently collect personal data from its users. Any updates to this policy will be communicated through updated terms or separate privacy notices.
You may not use or otherwise export or re-export the Application except as authorized by United States law and the laws of the jurisdiction in which the Application was obtained. Specifically, you may not export or re-export the Application (a) into any U.S.-embargoed countries or (b) to anyone on the U.S. Treasury Department’s Specially Designated Nationals List or the U.S. Department of Commerce Denied Persons List. By using the Application, you represent and warrant that you are not located in any such country or on any such list.
The Application and related documentation are “Commercial Items” as defined in 48 C.F.R. §2.101, consisting of “Commercial Computer Software” and “Commercial Computer Software Documentation.” Use by the U.S. Government is subject to the terms of this Agreement.
The Application is provided “as is” and “as available,” without warranties of any kind, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Abraxas Technologies LLC does not warrant that the Application will meet your requirements or that its operation will be uninterrupted or error-free. Your use of the Application is at your sole risk.
To the maximum extent permitted by law, Abraxas Technologies LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business, arising from or related to your use of the Application. In no event shall Abraxas Technologies LLC’s total liability exceed fifty dollars ($50.00).
This Agreement is governed by the laws of the State of Michigan, excluding its conflicts of law provisions. Any disputes arising from or related to this Agreement will be subject to the exclusive jurisdiction of the courts located in Michigan, United States. If you access the Application outside the United States, you are responsible for compliance with local laws.
By using ReelPhotos, you acknowledge that you have read, understood, and agree to be bound by this Agreement.
